Terms of Service

These Terms of Service ("Terms") govern access to and use of Centerly ("Centerly", "we", "us", or "our"), including our website, dashboard, attendance portals, family portals, and related services (collectively, the "Service").

By creating an account, starting a workspace, or using the Service on behalf of an organization, you agree to these Terms. If you do not agree, do not use the Service.

If you accept on behalf of a center, school, or company, you represent that you have authority to bind that organization.

You must be at least 18 years old — or the age of legal majority in your jurisdiction — to register a workspace owner account.

Staff accounts are invited by a workspace owner or administrator. You are responsible for safeguarding login credentials and for activity under your account.

You agree to provide accurate registration information and to keep workspace profile details (center name, billing contact, branches) up to date.

We may suspend or refuse accounts that provide false information or violate these Terms.

You may use Centerly only for lawful education-center operations: enrollment, attendance, academics, billing, communications, and related administration.

You may not misuse the Service, including by attempting to access another workspace without authorization, reverse-engineering the platform, introducing malware, scraping beyond permitted APIs, or using Centerly to send spam or unlawful content.

You are responsible for content uploaded to your workspace — student records, messages, public profile pages, and files — and for ensuring you have the right to process that data under applicable law.

We may investigate and take action — including suspension — for conduct that risks the Service, other customers, or third parties.

Your workspace data remains yours. Centerly processes it to provide the Service as described in our Privacy Policy.

You control roles and permissions inside your workspace. Assign access carefully — owners and admins can view sensitive student, parent, and financial records.

You are responsible for obtaining any consents required from students, parents, or staff before collecting or uploading personal data to Centerly.

If you publish a public profile page or enable parent/student portals, you are responsible for the accuracy of information shown to families.

Paid plans (Growth, Pro, Enterprise) are billed in Egyptian Pounds (EGP) unless otherwise agreed in writing. Prices shown at checkout or on our pricing page apply to your renewal term.

By subscribing, you authorize us — and our payment partners — to charge the payment method on file for recurring subscription fees, applicable taxes, and one-time add-ons you purchase.

Promotional codes apply according to their stated terms. Trials convert to paid subscriptions unless cancelled before the trial ends.

Student invoices and payment records inside your workspace are configured by you. Centerly provides tooling; you remain responsible for tax, receipt, and regulatory compliance in your jurisdiction.

The Free plan is offered without expiry subject to published usage limits (students, branches, modules). We may adjust Free-tier limits with reasonable notice.

Trials for paid plans provide temporary access to higher limits. When a trial ends, your workspace may revert to Free limits or require an active paid subscription to continue certain features.

Feature availability may depend on your plan. Plan comparison on our website reflects current product capabilities — not a guarantee of future modules.

We aim for reliable uptime but do not guarantee uninterrupted access. Maintenance, updates, or events outside our control may cause temporary downtime.

We may add, modify, or retire features as the product evolves. Material changes that reduce core functionality on a paid plan will be communicated with reasonable advance notice where practicable.

Beta or preview features may be offered as-is and can change or be withdrawn without notice.

Centerly owns the Service, including software, design, trademarks, and documentation. These Terms do not transfer any ownership to you.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your organization's internal operations during an active subscription or Free-tier entitlement.

Feedback you provide may be used by Centerly to improve the product without obligation to you.

The Service is provided "as is" and "as available" to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed.

Centerly is an operations platform — not a substitute for legal, accounting, or regulatory advice. You remain responsible for compliance with education, privacy, and financial regulations applicable to your center.

To the maximum extent permitted by law, Centerly and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

Our aggregate liability for claims relating to the Service is limited to the fees you paid to Centerly in the twelve (12) months before the event giving rise to the claim, or EGP 5,000 — whichever is greater — unless mandatory law requires otherwise.

You may cancel a paid subscription according to billing settings in your workspace. Cancellation stops future renewals; access may continue until the end of the current paid period.

We may suspend or terminate access if you breach these Terms, fail to pay amounts due, or if continued service poses security or legal risk.

Upon termination, you may export workspace data while your account remains accessible. We may delete or anonymize data after a reasonable retention period, as described in our Privacy Policy.

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles.

Parties will attempt to resolve disputes in good faith before pursuing formal remedies. Courts in Cairo, Egypt shall have exclusive jurisdiction, unless mandatory consumer protection law in your country requires otherwise.

We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes may also be notified by email or in-app notice.

Continued use after changes take effect constitutes acceptance of the updated Terms.
